According to the Article 2 of Law no.18 of 20.02.2020 on amendment to Law no.1134/1997, the Joint Stock Companies were supposed to bring the charters in compliance with the provisions of the abovementioned law no later than January 1, 2021.
Following the requests of the service applicants to the Division of Law Units Registration of the Public Services Agency, related to the JSC and the preliminary examination of documents submitted for the registration of amendments, we bring your attention to the following:
The Joint Stock Companies intend to submit the application for registration of amendments/new version charters without attaching all the documents established for this purpose by the legislation in force.
In accordance with Article 16 of Law no.220/2007 on State Registration of Legal Entities and Individual Entrepreneurs, the registration of amendments made in the constitutive acts and in the data entered in the State Register shall be carried out in the manner and under the conditions laid down for the registration of legal entity.
To register the amendments made in the constitutive acts and in the data contained in the State Register, the legal entity must submit to the state registration body the documents enlisted in Article 17 of Law no.220/2007 (http://www.asp.gov.md/ro/persoane-juridice, http://www.e-services.md/?q=ro/content/descarca-formulare). The data are entered in the State Register on the basis of the documents submitted for registration.
