Meeting of specialists of the Department of Registration and Licensing of Legal Entities of the PSA with the members of the Employers Association “American Chamber of Commerce of Moldova”

On the 10th of January 2022, the Law no. 175/2021 for the amendment of certain normative acts, came into force, by which amendments were made to the Civil Code, Law no. 220/2007 on the state registration of legal persons and individual entrepreneurs, Law no. 135/2007 on the limited liability companies, Law no. 1134/1997 on the joint stock companies, etc.

On the 5th of January the Public Services Agency had a meeting with the members of the community of the Employers Association "American Chamber of Commerce of Moldova" (AmCham) on the measures for the implementation of Law no. 175/2021.

During the meeting, a series of practical aspects related to the implementation of the changes regarding the procedure of the state registration of legal entities were discussed, as follows:

1. Exclusion of authentication of constitutive documents of the trading companies;
2. Exclusion of authentication of legal act of alienation/acquisition of shares in the limited liability companies;
3. Transmission of documents in electronic format for the state registration;
4. Verification by the state registration body of the possession of opinions or approvals through the automated data exchange with the respective issuing authority;
5. Issuance in electronic format of the decisions adopted by the state registration body, as well as of the information from the State Register.

The state registration body and members of the AmCham community have expressed concern about the imminent risk of document forgery in the context of excluding the authentication of the legal act of alienation/acquisition of shares, and as a result the increasing number of disputes, often long-lasting. In support of the natural and legal persons, the PSA has developed, approved and made available to applicants (on the official website of the PSA) the application forms for the registration of legal persons and individual entrepreneurs, as well as the instructions on how to fill in them.

At the same time, the participants welcomed the advantages of the proposed changes regarding the acceptance and issuance of documents for the state registration of legal entities in electronic format that will facilitate the remote interaction, in order to make possible the remote registration and amendment of documents of legal entities by the state registration body using the electronic signature.
