Standard documents (mandatory for LLC registration)

For the state registration of legal entities, the following documents must be submitted:

1. The decision of establishment and the constitutive documents of the legal entity, approved by all founding associates (in two copies)
2. The articles of association of the company
3. Information on the beneficial owner/beneficial owners, in accordance with Law no. 308/2017
4. A declaration on own responsibility regarding the absence of unspent criminal records for tax evasion offences

In addition, other documents may be requested, such as:

5. Additional documents for foreign investment
6. Documents for special situations and regulated fields

When the application is submitted at the counter, the following must be presented:

• the identity cards of the founders or of their representatives authorised by a notarised power of attorney, as well as that of the administrator of the legal entity;
• the registration application signed by the designated founder or by another person authorised by the decision of establishment.
